Please read these Terms & Conditions ("Terms") carefully before using Zuzan. By creating an account or clicking "I agree" during registration, you confirm that you have read, understood, and agree to be bound by these Terms.

These Terms constitute a binding agreement between you ("Client", "you", or "your") and Solutha (Pty) Ltd (Registration No. 2012/086257/07), trading as Zuzan, a company registered under the laws of the Republic of South Africa.

1. Description of Service

Zuzan is a cloud-based bookkeeping, payroll, and financial management platform designed for South African small and medium businesses. The platform includes invoicing, expense tracking, bank reconciliation, budgeting, payroll processing, financial reporting, and related features.

Zuzan is a software tool and does not constitute financial, tax, legal, or accounting advice. You remain solely responsible for the accuracy of information entered and for compliance with all applicable laws including SARS requirements.

Zuzan is offered on monthly or annual subscription plans. Current pricing is displayed at solutha.co.za/pricing and within the platform. Prices exclude VAT where applicable.

4. Cooling-Off Period and Cancellation

4.1 Seven-day cooling-off (Consumer Protection Act s16)
In accordance with Section 16 of the Consumer Protection Act 68 of 2008, you may cancel your subscription within 7 (seven) business days of your first paid charge and receive a full refund of that payment. To exercise this right, email support@solutha.co.za with subject line "Cooling-Off Cancellation" within 7 business days of the charge date.

Subscriptions renew automatically at the end of each billing period unless cancelled. You will receive an email reminder 7 days before renewal. To disable auto-renewal, go to Settings > Subscription and toggle off "Auto-renew" before the renewal date.

6. Invoicing and Payment Links

Zuzan allows you to send invoices containing a payment link to your clients. These links direct your clients to your own PayFast merchant account. All funds paid by your clients flow directly to your PayFast account. Zuzan does not collect, hold, or distribute client funds at any time. You are responsible for maintaining a valid PayFast merchant account and for all FICA compliance required by PayFast.

7. Payroll and SARS Compliance

The Payroll add-on applies South African PAYE, UIF, and SDL rules based on current SARS tax tables, updated annually after the Budget Speech. You remain responsible for:

Zuzan is a calculation tool only. We do not guarantee calculations are free from error or that the platform will be updated in real time following mid-year SARS amendments.

8. Annual Financial Statements

The AFS add-on generates draft financial statements from data entered in Zuzan. These must be reviewed and signed off by a qualified accountant or auditor before being used for statutory or third-party purposes. Zuzan makes no representation that draft AFS meet the requirements of any specific regulatory or lending body.

10. Intellectual Property

All software, designs, trademarks, logos, and content comprising the Zuzan platform are the exclusive property of Solutha (Pty) Ltd or its licensors. Nothing in these Terms grants you any right to use our intellectual property other than as necessary to use the platform.

Your data (invoices, expenses, employee records, financial reports) remains your property at all times. We process it solely to deliver the service and will return or delete it on request or on account closure.

11. Data Protection and Privacy

Your use of Zuzan is governed by our Privacy Policy (solutha.co.za/privacy), incorporated into these Terms by reference. By agreeing to these Terms you acknowledge that you have read and accepted the Privacy Policy.

You are the Responsible Party under POPIA for personal information of your employees and clients that you enter into the platform. Zuzan acts as an Operator processing that data on your behalf.

12. Availability and Service Levels

We aim to maintain 99% platform availability, excluding scheduled maintenance. We will provide reasonable advance notice of planned downtime by email or in-app notification. We are not liable for downtime caused by third-party services (Render, PayFast, Resend) or force majeure events.

13. Limitation of Liability

To the maximum extent permitted by South African law, Zuzan's total liability for any claim shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

14. Indemnity

You indemnify and hold harmless Solutha (Pty) Ltd, its directors, employees, and agents from any claims, damages, or expenses (including legal costs) arising from your use of Zuzan, your breach of these Terms, or your violation of any third-party rights.

15. Changes to These Terms

We will notify you by email at least 30 days before material changes take effect. If you do not agree to updated Terms, cancel before the effective date. The current version is always available at zuzan.co.za/terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa. Disputes shall first be referred to mediation. If mediation fails, the parties submit to the jurisdiction of the South African courts.
